Affiliate Agreement

Effective date: March 18, 2026

This Affiliate Agreement ("Agreement") is a legally binding contract between you ("Affiliate", "you") and Viralspace (the "Platform", "we", "us", or "our"). By registering as an affiliate on Viralspace, generating promotional links, or promoting products through our marketplace, you agree to be bound by this Agreement.

This Agreement supplements our Terms & Conditions, Privacy Policy, and Payout Policy. In case of conflict, this Agreement takes precedence for affiliate-specific matters.

1. Eligibility & Enrollment

To become a Viralspace Affiliate, you must:

• Be at least 18 years old
• Complete the affiliate registration process and onboarding survey
• Provide accurate personal information and valid payment details
• Have a legitimate online presence (social media, blog, website, or content channel)
• Agree to this Agreement and all Platform policies

We reserve the right to accept or reject any affiliate application at our sole discretion. Approval may be based on content quality, audience alignment, and compliance with our guidelines.

2. Affiliate Responsibilities

As a Viralspace Affiliate, you agree to:

• Promote honestly: Only make truthful claims about products. Do not exaggerate features, benefits, or results.
• Disclose your relationship: Clearly disclose that you may earn commissions from your promotional links. Use language like "affiliate link," "sponsored," or "I earn a commission" as required by applicable laws (including FTC guidelines and Nigerian advertising regulations).
• Comply with laws: Follow all applicable federal, state, and local laws regarding advertising, consumer protection, and online marketing.
• Respect brands: Do not misrepresent brands, use their trademarks inappropriately, or engage in any activity that could damage their reputation.
• Maintain account security: Keep your login credentials confidential and immediately report any unauthorized access.

3. Promotional Links & Tracking

When you generate a promotional link for a product:

• Each link contains a unique tracking identifier tied to your affiliate account
• We use cookies and tracking technology to attribute sales to your promotional efforts
• Cookie duration and attribution windows are determined by each brand's settings
• You are responsible for ensuring your promotional links are correctly formatted and functional
• Do not modify, cloak, or manipulate tracking links in ways that could affect attribution accuracy

4. Commission Structure

Affiliates earn commissions on confirmed sales:

• Commission rates: Set by each brand per product and displayed in the marketplace when generating links
• Qualifying sales: Sales attributed to your promotional links where the buyer completes payment and the order is fulfilled
• Escrow protection: Buyer payments are held in escrow and released 6 hours after the brand confirms shipment
• Commission crediting: Your commission is credited to your Viralspace wallet after escrow release and delivery verification
• Platform fees: A platform fee is deducted from transactions; net commission is what appears in your wallet

5. Prohibited Promotional Practices

The following promotional practices are strictly prohibited and may result in immediate termination:

• Self-referrals: Purchasing products through your own affiliate links to earn commissions
• Fake traffic: Using bots, click farms, purchased traffic, or artificial methods to generate clicks or sales
• Incentivized clicks: Offering rewards, cashback, or incentives solely for clicking your affiliate links (without a genuine promotional context)
• Spam: Unsolicited emails, messages, comments, or any form of spam marketing
• Misleading content: False claims, fake reviews, misleading comparisons, or deceptive advertising
• Trademark abuse: Bidding on brand names in paid search, using trademarks in domain names, or impersonating brands
• Cookie stuffing: Forcing affiliate cookies without user knowledge or consent
• Adult or illegal content: Promoting products alongside adult, violent, hateful, or illegal content

6. Content Guidelines

All promotional content you create must:

• Be original or properly licensed
• Not infringe on any third-party intellectual property rights
• Comply with platform guidelines of any social media or website where it's published
• Be accurate, truthful, and not misleading
• Include required affiliate disclosures
• Not contain any content that is defamatory, obscene, discriminatory, or illegal

You retain ownership of original content you create. However, by sharing promotional content featuring products from our marketplace, you grant brands a non-exclusive license to use, share, or feature your content for their own marketing purposes.

7. Payouts & Withdrawals

Commission earnings are subject to our Payout Policy:

• Minimum withdrawal: ₦5,000 (Nigerian Naira)
• Payment method: Nigerian bank account (you must add and verify your bank details in your wallet settings)
• Processing time: Withdrawal requests are processed within 1-3 business days
• Commission holds: Commissions may be held pending fraud review or dispute resolution

8. Fraud Detection & Enforcement

We employ fraud detection systems to monitor affiliate activity. If we detect suspicious patterns:

• We may suspend your account pending investigation
• Commissions earned through fraudulent activity will be forfeited
• We may reverse or clawback commissions already paid if fraud is discovered later
• Violations may result in permanent ban from the Platform
• We reserve the right to report fraudulent activity to relevant authorities

9. Relationship with Brands

As an affiliate, you partner with brands to promote their products:

• Brands set commission rates and may change them at their discretion
• Brands may approve or reject affiliates for specific products
• Brands may provide promotional materials, guidelines, or restrictions
• You are an independent contractor, not an employee or agent of any brand or Viralspace
• You have no authority to bind, obligate, or make commitments on behalf of brands

10. Intellectual Property

Your use of brand assets (logos, images, trademarks) is limited to:

• Promotional purposes directly related to marketing their products
• Assets provided through the Viralspace platform or explicitly authorized by brands
• Use in accordance with any brand guidelines provided

You may not register domain names, social media handles, or accounts that incorporate brand names or trademarks without written permission.

11. Term & Termination

This Agreement begins when you register as an affiliate and continues until terminated:

• Voluntary termination: You may close your affiliate account at any time through your account settings
• Termination by Viralspace: We may suspend or terminate your account immediately for policy violations, fraud, or at our discretion with notice
• Effect of termination: Upon termination, you must stop all promotional activities using Viralspace links. Earned commissions (not flagged for fraud) will be paid according to our payout policy if above minimum threshold.
• Survival: Provisions regarding intellectual property, confidentiality, liability, and dispute resolution survive termination

12. Confidentiality

You agree to keep confidential any non-public information obtained through your affiliate relationship, including:

• Commission rates and structures not publicly displayed
• Brand strategies or promotional plans shared with you
• Platform features, tools, or data not available to the general public
• Any information designated as confidential

13. Disclaimers & Limitation of Liability

The Viralspace affiliate program is provided "as is" without warranties. We do not guarantee:

• Specific earnings or conversion rates
• Uninterrupted access to the platform or tracking systems
• Product availability or brand participation

To the maximum extent permitted by law, Viralspace shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your participation in the affiliate program. Our total liability shall not exceed the commissions actually paid to you in the 12 months preceding any claim.

14. Indemnification

You agree to indemnify and hold harmless Viralspace, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your promotional content or activities
• Your violation of this Agreement or any applicable law
• Your infringement of any third-party rights
• Any misrepresentation made by you

15. Dispute Resolution

Commission disputes must be raised within 14 days of the transaction. For all disputes:

• First, attempt resolution through our support team at support@viralspace.ng
• If unresolved, disputes shall be settled through binding arbitration in Lagos, Nigeria
• This Agreement is governed by the laws of the Federal Republic of Nigeria

16. Modifications to Agreement

We may modify this Agreement at any time. Changes will be posted on this page with an updated effective date. Significant changes will be communicated via email or dashboard notification. Your continued participation as an affiliate after changes constitutes acceptance of the modified terms.
