Welcome to Viralspace! These Terms & Conditions ("Terms") form a legally binding agreement between you ("User", "you") and Viralspace (the "Platform", "we", "us", or "our") regarding your access to and use of our website, affiliate marketing services, marketplace, and escrow-protected transactions. By registering as a brand, affiliate, or buyer, listing products, generating promotional links, making purchases, or otherwise using Viralspace, you agree to these Terms.

If you do not agree, do not use the Platform.

1. Eligibility & Accounts

You must be at least 18 years old to use Viralspace. You agree to provide accurate, current information during registration (including onboarding surveys) and to keep it updated. Each person may only maintain one account. We reserve the right to suspend or terminate accounts for inaccurate information, fraud, multiple accounts, or violation of these Terms.

2. User Roles & Responsibilities

• Affiliates: Browse the marketplace, generate unique promotional links for products, and promote them through your channels. You must promote products ethically and in compliance with applicable laws (including disclosure requirements: clearly mark promotions as sponsored or affiliate content). You are responsible for all promotional content you create.
• Brands: List accurate product details including descriptions, images, pricing, and shipping information. Fulfill orders promptly within stated timeframes. Handle customer inquiries professionally. Confirm shipment and delivery to release escrow funds.
• Buyers: Provide accurate payment and shipping information. Payments are held in escrow until you confirm delivery or the verification period expires (6 hours after shipment).

3. Product Listings

Brands must ensure all product listings are accurate, truthful, and comply with applicable laws. Prohibited items include counterfeit goods, illegal products, hazardous materials, and items that violate intellectual property rights. We reserve the right to remove listings and suspend accounts that violate these guidelines.

4. Commissions & Payments

Affiliate commissions are performance-based and paid only on confirmed sales after escrow release and delivery verification. Commission rates are set by each brand per product. Platform fees are deducted from transactions. Earnings are credited to your Viralspace wallet and can be withdrawn to your Nigerian bank account once you meet the minimum threshold. Disputes regarding commissions must be raised within 14 days of the transaction.

5. Escrow & Transactions

When a buyer purchases through an affiliate link, payment is held in escrow by Viralspace. Funds are released to the brand (minus platform fees and affiliate commission) after the buyer confirms delivery or 6 hours after the brand marks the order as shipped, whichever comes first. We use trusted third-party payment processors and do not store full payment card details. Disputes are handled via our resolution process; we may freeze funds during investigation.

6. Refunds & Disputes

Buyers may request a refund before confirming delivery if the product is not received, damaged, or not as described. Refund requests must include supporting evidence (photos, tracking information). Our support team will review disputes and mediate between parties. Brands with repeated valid disputes may face account restrictions or termination.

7. Prohibited Conduct

• Creating fake orders, self-referrals, or manipulating the tracking system
• Using spam, misleading claims, or deceptive marketing practices
• Promoting products through malware, unauthorized software, or illegal methods
• Violating intellectual property rights or privacy laws
• Harassment, discrimination, or abusive behavior toward other users
• Attempting to bypass escrow or conducting off-platform transactions
• Any activity that harms the Platform, its users, or its reputation

8. Intellectual Property

Viralspace owns all Platform content, trademarks, and proprietary technology. Brands retain ownership of their product images and descriptions but grant Viralspace a license to display them on the marketplace. Affiliates retain ownership of their promotional content but grant Viralspace the right to feature successful promotions for marketing purposes.

9. Termination & Suspension

We may suspend or terminate accounts immediately for violations of these Terms, fraudulent activity, or at our reasonable discretion. Upon termination for breach, unpaid commissions and wallet balances may be forfeited. You may close your account at any time; pending verified commissions will be paid per our standard payout schedule.

10. Disclaimers & Limitation of Liability

Services are provided "as is" without warranties of any kind. Viralspace is not liable for indirect damages, lost profits, or actions of third parties. Maximum liability is limited to fees you paid to Viralspace in the prior 12 months. We act as a facilitator connecting brands, affiliates, and buyers — we are not a party to sales contracts between these parties.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of Viralspace shall be resolved through arbitration or the appropriate courts in Nigeria.

12. Changes to Terms

We may update these Terms from time to time. Continued use of Viralspace after changes constitutes acceptance of the updated Terms. For significant changes, we will notify you via email or a prominent notice on the Platform.
